This Terms of Use Agreement ("Agreement") is established between ONX Yazılım Anonim Şirketi, operating under the Pabli brand ("Company" or "Pabli"), and the individual or institutional user ("User").

1.1. Parties: This Agreement is established between the Company and the User creating an account or purchasing services.
1.2. Formation: Formed when the User explicitly checks an un-prechecked checkbox during registration or checkout, agreeing to the accessible terms. Browsing or unconfirmed account registration alone does not constitute acceptance.
1.3. Institutional Representation: Users acting on behalf of an institution represent that they have full authorization to bind the entity.
2. Definitions
Pabli platform software, Individual Users (consumers), Institutional Customers, Add-ons, and AI Credits are defined according to applicable commercial laws.
3. Service Scope
Pabli delivers software for educational content creation, conversion, and interactive module delivery as specified in plan descriptions.
4. Account Security & Minors
Minors cannot directly purchase paid subscriptions or AI credits. Student accounts are created via schools, teachers, or parents. Institutions must fulfill legal notice obligations before uploading student data. Statutory non-limitable liabilities of Pabli are preserved.
5. Plans & Pricing
Pabli offers monthly and annual automatically renewing SaaS subscriptions, add-ons, and AI credits. Current prices and package contents are displayed on the Pricing page and at checkout. Applicable taxes are disclosed before payment authorization.
6. Payments
6.1. Payments in Türkiye: Payments in Türkiye are collected on behalf of ONX Yazılım Anonim Şirketi through Sipay or PayTR.
6.2. Paddle Payments Outside Türkiye: For transactions processed by Paddle outside Türkiye, the applicable Paddle entity identified at checkout acts as the authorized reseller and Merchant of Record. Paddle handles payment, tax, invoicing, refunds, and chargebacks. Use and licensing of the Pabli service remain subject to this Agreement.
6.3. Limited Scope: Pabli does not process payments between its users and their customers. Pabli is not a marketplace or payment facilitator. Customers pay Pabli only for Pabli software subscriptions, add-ons, AI credits, and usage-based services.
7. Subscriptions & Renewal
Subscriptions automatically renew on a monthly or annual basis until cancelled. A cancellation takes effect at the end of the current paid term and prevents the next renewal charge. Users may cancel from their account or through the subscription management route offered by the relevant payment provider.
8. Add-ons
Add-on purchase scope (one-time or recurring) is explicitly defined at checkout.
9. AI Credits Commercial Terms
AI Credits are platform-only usage units and cannot be transferred or redeemed for cash. Credits included with a subscription reset at the end of each monthly period, do not roll over, and are reallocated monthly. This monthly reset also applies to annual subscriptions. Separately purchased credits do not expire while the account remains open, but cannot be transferred or redeemed for cash.
10. Digital Delivery
Digital services and credits are provisioned to the User account immediately upon payment confirmation.
Pabli does not offer an automatic free trial. Pabli may, at its discretion, grant limited manual access free of charge. Such access does not automatically convert into a paid subscription unless the User separately and expressly accepts a paid subscription.
11. Withdrawal Rights & Refunds
11.1. Applicable Statutory Withdrawal Rights: Individual Users acting as consumers retain all mandatory withdrawal and refund rights available under applicable consumer protection law. The availability, scope, and exercise of any such right are assessed according to the type of transaction, whether performance of the digital service has commenced, the extent of use, and any separate and explicit consents provided by the consumer. Requests may be submitted to info@pabli.co or through the process described in the Refund & Cancellation Policy. Where a mandatory withdrawal right validly applies, refunds are made within the applicable statutory period using a method consistent with the original payment instrument.
11.2. Ongoing Subscriptions: Cancellation of a subscription, prevention of the next automatic renewal charge, and withdrawal from a contract are separate rights and processes. Requests concerning an ongoing SaaS subscription are handled according to the nature of the subscription and applicable mandatory consumer law.
11.3. One-Time Digital Services and AI Credits: If a consumer requests that a one-time digital service begin, or that AI credits be made available, before the expiry of any applicable withdrawal period, performance is initiated only on the basis of the consumer's separate and explicit request where required. Any statutory exception to a withdrawal right applies only when all relevant legal conditions have actually been satisfied and does not automatically apply to every purchase.
11.4. Defective Services and Refunds: Withdrawal provisions do not limit a consumer's mandatory remedies for a defective or non-conforming service. Subscription cancellation and requests to stop automatic renewal are also assessed separately from withdrawal requests. Any mandatory right to request an immediate refund for a defective service is not restricted by the time periods stated in this section or in the subscription cancellation provisions.
11.5. Purchase Terms: Consumer purchases are also subject to the mandatory pre-contract information and distance-service terms presented to the consumer before checkout, together with the Refund & Cancellation Policy.
11.6. Paddle Transactions: Cancellation and refund requests for Paddle transactions are governed by the Paddle Buyer Terms and Paddle Refund Policy. Additional instructions are available in the Refund & Cancellation Policy.
12. User Content & AI Outputs
Users retain ownership over uploaded content and receive rights to use AI outputs. Pabli receives limited license strictly to deliver services and pass data to necessary sub-processors. AI output exclusivity is not guaranteed. Users must verify AI outputs prior to publication.
13. Acceptable Use
Unlawful content, unauthorized penetration testing, and system manipulation are strictly prohibited.
14. Service Changes
Material adverse changes to core paid features will be notified to users in advance.
15. Suspension & Termination
Pabli may suspend accounts proportionally in cases of material breach or safety threats.
16. Limitation of Liability
16.1. B2B Liability Cap: For Institutional Customers, total contractual liability is capped at the net fees paid by the customer in the 12 months preceding the claim. Indirect and consequential damages are excluded to the extent permitted by law.
16.2. Exclusions: Intent, gross negligence, statutory non-limitable data protection liabilities, IP infringement, and consumer rights are excluded from this limitation.
17. Personal Data & Privacy
Data processing is governed by our Privacy Policy and Personal Data Processing Notice.
18. Third-Party Services
Third-party payment gateways, cloud hosting, and AI model providers operate under their respective terms.
19. Amendments
Updates are published with version numbers and effective dates without retroactive adverse effect.
20. Force Majeure
Parties are excused from performance delays caused by events beyond reasonable control.
21. Notices & Contact

22. Governing Law & Jurisdiction
Governed by Turkish law. Consumer arbitration boards and courts apply for consumers. Pabli central courts jurisdiction applies strictly to merchants (B2B) and public entities.
23. Effectiveness
Effective upon explicit electronic opt-in checkbox acceptance, logged with timestamp and user ID.
